Electronic offer and acceptance
This document is MARTI RIKINA LLC's standing electronic offer to enter a Supplier Agreement. The supplier accepts it by selecting the acceptance checkbox and submitting or renewing its supplier account. The person accepting represents that they are at least 18 years old and authorized to bind the identified supplier.
The acceptance record identifies the verified account, supplier, agreement version and acceptance time. The supplier may review, print or save this Agreement before accepting. Those records and related electronic communications may be used to establish acceptance.
Supplier workspace and factory confirmation
MARTI RIKINA provides a private workspace where a supplier can confirm its factory profile, submit product source material, receive requests from MARTI RIKINA, communicate with MARTI RIKINA and upload factory quotations. Access is non-exclusive, revocable and limited to legitimate business use.
The supplier must review and confirm that its company or factory name, production country, contact information, website, product categories and manufacturing capabilities are accurate and current. The supplier must promptly update a material change and provide supporting evidence when reasonably requested.
Automated preparation and owner review
The supplier authorizes MARTI RIKINA to process authorized product source material when it is submitted and to prepare private standardized artifacts, including normalized product data, edited image candidates, print-zone records and technical-document candidates. Processing may include structured extraction, cropping, resizing, cleanup, translation, conversion, rendering, combination and creation of derivative materials for the MARTI RIKINA Partners workflow.
Generated artifacts go to the MARTI RIKINA owner workspace for review. They are not published automatically. MARTI RIKINA may approve, reject, edit or request regeneration. Automated output may contain errors and does not replace a factory specification, sample approval or final production confirmation.
Three-dimensional model generation is a separate, owner-initiated workflow. It is not launched automatically from the supplier submission and is subject to its own controlled protocol and review.
Where optional processing by an external artificial-intelligence provider is offered, it is governed by a separate, current upload-specific notice and affirmative consent. Acceptance of this Agreement alone is not consent to send a private file to an external AI provider.
Product-content ownership and license
The supplier retains ownership of its content. The supplier grants MARTI RIKINA a worldwide, non-exclusive, royalty-free, fully paid-up and sublicensable license to host, store, reproduce, copy, crop, resize, edit, adapt, translate, convert, render, combine and create derivative materials from authorized product photos, drawings, print-zone material, specifications, descriptions and other product or company content.
This license permits MARTI RIKINA and its authorized service providers to operate and secure MARTI RIKINA Partners; prepare standardized artifacts; moderate and verify submissions; create product cards, configurator assets, production briefs and sales materials; and synchronize approved product data across MARTI RIKINA systems. Service providers may exercise these rights only to provide their contracted services to MARTI RIKINA.
After MARTI RIKINA owner approval, the license also permits MARTI RIKINA to publicly display, distribute, publish and use approved, non-confidential product content in MARTI RIKINA catalogs, websites, configurators, quotations, presentations, portfolio materials, demonstrations, training and other lawful commercial or promotional materials.
The public-content license does not include a factory source quotation, supplier source pricing or cost, supplier margin, banking or payment instructions, private chat, private contact details, customer information or a controlled source file that MARTI RIKINA has not approved for publication. Those materials remain subject to the confidentiality and workflow restrictions below.
The license continues while the content is used in MARTI RIKINA Partners and thereafter for approved materials already published or distributed, incorporated derivative materials, transaction records, legal records, backups and archives. Removal or account termination does not require recall of materials already printed, delivered, published or retained for compliance and evidence. No additional approval, attribution or compensation is required unless separately agreed in writing.
The supplier represents and warrants that it owns or controls all necessary rights and has obtained every consent or release required for these uses.
Factory quotations and MARTI RIKINA client quotations
A supplier may receive a request for quotation from MARTI RIKINA and upload a factory source quotation for that request. The supplier authorizes MARTI RIKINA to extract, translate, normalize and reformat the submitted commercial facts and to use them as an input when preparing a separate MARTI RIKINA-branded quotation for its client.
MARTI RIKINA may structure its own client-facing price, services, logistics, fees and commercial terms. A MARTI RIKINA client quotation is a separate MARTI RIKINA document and does not identify the supplier as contracting directly with the client.
The factory source quotation and supplier source pricing are confidential. They are not public catalog content and will not be delivered or displayed to the end client. Access is limited to MARTI RIKINA, the submitting supplier and authorized systems or service providers that need the information to perform the quotation workflow.
The supplier is responsible for clearly stating and keeping current its currency, unit basis, MOQ, tooling, samples, freight basis, taxes, lead time, validity period, exclusions and other commercial assumptions. Uploading or transforming a quotation does not create a purchase order or production authorization. A transaction requires a separate written acceptance, purchase order or commercial agreement. MARTI RIKINA's notice of client approval under the next section is such a written acceptance for the approved quantity.
Approved quotation, price commitment and delivery
When MARTI RIKINA's client approves a MARTI RIKINA client quotation prepared from the supplier's factory quotation, the factory quotation is deemed agreed for the approved products, quantities and specifications as of that approval. MARTI RIKINA notifies the supplier of the approval through MARTI RIKINA Partners; the notice identifies the agreed factory quotation, the approved quantity and the agreed unit prices and is the written acceptance referred to in the previous section.
From that approval the agreed unit price of each product is fixed. The supplier may not increase or otherwise change the price of the goods for the approved quantity, and no price assumption, currency movement, material cost, tooling, sampling or other charge stated in or omitted from the factory quotation may be added after approval. The supplier undertakes to manufacture and deliver the approved goods at the agreed price once MARTI RIKINA has paid the supplier the amount due under the agreed factory quotation in accordance with the payment terms stated in it.
The freight or shipping cost stated in the factory quotation may vary from the stated amount by no more than five percent (5%) up or down. A variation within that range is settled at the actual documented cost. A variation beyond that range requires MARTI RIKINA's prior written consent; without it the supplier bears the excess. The supplier must inform MARTI RIKINA of the final freight amount, and of any circumstance likely to affect it, before shipment.
The supplier informs MARTI RIKINA without delay of any event that may prevent delivery of the approved goods at the agreed price or within the agreed lead time. If the supplier fails to honour the agreed price, MARTI RIKINA may withhold payment, cancel the order without liability or obtain the goods elsewhere and recover the difference in cost. This section prevails over any conflicting term of the factory quotation and survives termination for orders approved before termination.
Moderation and catalog publication
Supplier submission does not guarantee approval or publication. A supplier cannot publish directly to the customer catalog. MARTI RIKINA controls categorization, presentation, regeneration, moderation and configuration standards, and catalog publication requires an authenticated MARTI RIKINA owner approval.
MARTI RIKINA may approve, reject, return for correction, unpublish or archive a product record. Approved listing data may be copied into an autonomous snapshot used by packaging.martirikina.com so the customer catalog and configurator can continue operating independently of the supplier portal.
Requests and supplier communication
A supplier request is issued by MARTI RIKINA and contains only the production and commercial information needed for the supplier to evaluate it. The supplier does not receive the end client's identity, account, contact details or private client communications.
Workspace chat is a direct business communication between the supplier and MARTI RIKINA. Messages and attachments are confidential, request-specific records and may be retained for operations, evidence, security and dispute resolution.
A request, saved configuration, estimated price or message is not a purchase order or guarantee of business. Platform access fees, commissions or transaction fees apply only if separately agreed in writing.
Manufacturing and compliance
The supplier is responsible for manufacturing capability, quality, product safety, conformity, labeling support, testing, intellectual-property clearance, labor and environmental compliance, export and import information, and every certification it claims. Platform review is not factory certification, legal approval or acceptance of production quality.
The supplier must notify MARTI RIKINA if an approved mold, component, drawing, material, tolerance, production limit, price assumption or lead time changes.
Confidentiality and information security
Each party will protect the other party's non-public business, technical and commercial information using at least reasonable care and will use it only for the platform relationship and related transactions. Confidential information includes factory source quotations, supplier source pricing, controlled drawings, non-public product files, chat, security information and private request material.
Confidential information may be disclosed to personnel and contracted service providers who need it for the authorized workflow and are subject to confidentiality obligations, or where disclosure is required by law. It does not include information the receiving party can document was already lawfully known without restriction, independently developed, rightfully received from a third party or made public without breach.
Account conduct and cooperation
The supplier will maintain secure access, respond professionally, avoid deceptive conduct and cooperate with security, rights and compliance investigations. The supplier may not bypass platform controls, misuse request information, solicit an undisclosed end client, upload malware or represent that MARTI RIKINA guarantees its products.
Warranties, indemnity and liability
The supplier represents that its information and quotations are accurate, it has authority to enter this Agreement, and its products and content comply with applicable law and third-party rights. The supplier will defend, indemnify and hold harmless MARTI RIKINA and its affiliates, personnel and customers from third-party claims, losses and reasonable costs arising from supplier products, content, infringement, regulatory noncompliance, breach, negligence or willful misconduct.
The disclaimers and liability limitations in the Terms of Use apply to this Agreement. Nothing excludes liability that cannot legally be excluded.
Term and termination
This Agreement begins on electronic acceptance and continues until terminated. Either party may terminate by notice. MARTI RIKINA may immediately suspend or terminate for material breach, safety or security risk, infringement, unlawful conduct, repeated inaccuracy or harm to MARTI RIKINA Partners. Termination does not cancel an existing written purchase obligation or a provision intended to survive, including licenses for previously approved materials, confidentiality, records, payment, indemnity and dispute terms.
Law, notices and entire agreement
Florida law governs this Agreement. The parties agree to transact electronically. The acceptance checkbox, verified account identifier, supplier identifier, agreement version and timestamp form an electronic record of assent. The parties intend electronic records and signatures to have the legal effect permitted by the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act.
The parties will first attempt good-faith resolution by written notice. State and federal courts in Sarasota County, Florida have exclusive jurisdiction where permitted by law. Notices to MARTI RIKINA must be sent to packaging@martirikina.com. Notices to the supplier may be sent to its verified account email.
This Agreement, the Terms of Use, Privacy Policy and any written commercial agreement constitute the agreement for participation in MARTI RIKINA Partners. A separately signed commercial agreement controls if it expressly conflicts. MARTI RIKINA may update this Agreement and will require renewed acceptance when a new version materially changes supplier obligations or authorized uses.
